1. Services and scope

Oakmeadowtrack provides forecasting, budgeting, cash-flow modeling, scenario planning, and related advisory services. For any paid engagement, we will provide a written statement of work describing deliverables, timelines, and fees. Our models, templates, and recommendations are provided for planning and decision-making support only. They are based on information you supply, reasonable assumptions, and historical data. You remain responsible for business decisions and verifying model outputs before taking action. We do not provide accounting, legal, tax, or investment advice unless expressly stated in writing in a separate agreement.

2. Access and acceptable use

You may use the website for lawful business purposes and personal research. You agree not to misuse the site, attempt to gain unauthorized access to our systems, or interfere with the operation of the service. You must provide accurate contact information when requesting services. If you publish or share our content, you must attribute Oakmeadowtrack appropriately and not present our analysis as your own unless a written license permits it. You are responsible for maintaining the confidentiality of any account credentials issued to you and for all actions taken under those credentials.

3. Intellectual property

4. Fees, payment, and cancellations

Late payments may result in suspension or termination of services. If you cancel an engagement, any prepaid amounts for completed work are non-refundable; unused prepaid fees will be handled according to the terms in your engagement agreement. For subscription services, recurring charges continue until cancelled in accordance with the written agreement.

5. Confidentiality and client data

We treat client-submitted business information and financial data as confidential and will not disclose it except (a) with your consent, (b) to our subcontractors who are bound by confidentiality obligations, or (c) as required by law. We implement reasonable technical and organizational measures to protect data. 6. Disclaimers and limitation of liability

Our services are provided "as is" and Oakmeadowtrack makes no warranties, express or implied, regarding accuracy, completeness, or fitness for a particular purpose except as explicitly stated in a written engagement. We strive for accuracy in forecasts and recommendations, but forecasts are inherently uncertain and based on assumptions; actual results may differ. To the fullest extent permitted by law, Oakmeadowtrack's liability for damages arising out of these Terms or use of our services is limited to the fees paid by you for the relevant services in the 12 months preceding the claim. We are not liable for consequential, incidental, special, or punitive damages, loss of profits, or loss of business opportunity. Nothing in these Terms limits liability for gross negligence, willful misconduct, or as otherwise required by applicable law.

7. Indemnification

You agree to indemnify and hold Oakmeadowtrack and its affiliates, officers, and employees harmless from claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from (a) your breach of these Terms, (b) your misuse of the site or deliverables, or (c) your violation of applicable laws in connection with your use of our services.

8. Termination

Either party may terminate a service engagement in accordance with the termination terms set out in the applicable statement of work. We may suspend or restrict access to the site or services if you breach these Terms or engage in harmful activities. Termination does not relieve you of the obligation to pay outstanding fees for services already performed.

9. Governing law and dispute resolution

These Terms are governed by the laws of the Commonwealth of Massachusetts without regard to choice-of-law principles. Any dispute arising from or relating to these Terms or our services will be subject to the exclusive jurisdiction of the state and federal courts located in Suffolk County, Massachusetts, unless the parties agree in writing to a different dispute resolution method. We encourage contacting us first to resolve concerns informally; most issues can be resolved by contacting our team.
